## Deliverables

Each row is a noun you can hand over (file, call, session), format, quantity, acceptance test, due date + IANA zone. Feelings are not rows.

Out of scope: list the extras people “just ask for” (ads, legal review, translations, stock, hosting).

## Calendar

Start = later of written acceptance AND first payment cleared.  
Review window: [N] business days in [ZONE]. Silent review: decide with counsel whether silence counts as acceptance; do not invent a statute.

## Money

Total [AMOUNT] [CURRENCY]. Deposit that must **clear** before kickoff. Balance on delivery or named date.  
USDC on Base (if used): send to the address on the invoice; email hash; memo=[SOW-001]. Wrong network is not completion.  
Taxes: each party handles its own. This is not tax advice.  
Do not add interest unless a lawyer drafts a lawful rate for your country.

## Revisions

A **number** of rounds (never “unlimited”). One round = one document from one owner, not five parallel chats.

## IP (discussion points, not a grant)

State whether copyright in the final deliverable assigns on full payment or is licensed. Do not paste “work made for hire” if that doctrine does not exist where you live. Provider templates stay with Provider unless a lawyer drafts an assignment. Portfolio screenshots: only non-confidential, unless Client objects in writing before kickoff.

## Pause / cancel

Pause in writing; dates shift. Cancel before start / after draft: write what you will actually do; do not copy a random kill-fee percentage from a blog. This sheet does not include non-solicit or non-compete.

## Confidentiality (thin)

Do not share the other side’s non-public business information except to people who need it for this SOW or as required by law. This is not a full NDA.

## Status

Independent contractor, not employee or partner. No promised traffic, revenue, rankings, or court outcomes. Damage caps are lawyer work.

## Acceptance

Typed name in email may or may not bind a company where you live. Record: name, title, date, email of record for each side.
